Does storing inventory in a US warehouse create nexus?
Yes, in almost every case. Inventory sitting in a state, your own warehouse, a 3PL, or an Amazon fulfilment centre, is physical presence in that state. It creates sales tax nexus from the first unit, with no dollar threshold to clear first. If you use FBA and Amazon moves your stock, you can pick up nexus in states you never chose.
What are the economic nexus thresholds?
Most states use $100,000 in sales into that state over twelve months, and some also count 200 separate transactions. A handful sit higher, California and Texas are at $500,000. The measurement period and whether marketplace sales count differ by state, which is why we track it per state rather than by rule of thumb.
I sell on Amazon FBA. Do I still need to register in each state?
Often yes. Marketplace facilitator laws mean Amazon collects and remits sales tax on your Amazon orders, but that does not always remove your own registration and filing obligation, and it does nothing for your Shopify or wholesale sales into the same state. Where you hold inventory, you usually still need to be registered.
Who should be the importer of record?
It depends on whether you want title to pass in Canada or in the US. If your US entity is importer of record, it takes on duty, customs compliance and the paperwork, and that supports a cleaner transfer pricing story. If your customer is importer of record, you avoid the burden but complicate the sale. We work this out before your first shipment where possible.
Do I charge HST on sales to US customers?
Generally no. Goods exported to a US customer are zero-rated for GST/HST, so you charge 0% and still claim input tax credits on your costs. You need export documentation to support it. Digital services and services to US customers follow different place-of-supply rules.
Which state should an Ontario seller incorporate in?
Delaware is the default answer and often the wrong one for a goods business. If your inventory, staff and customers concentrate in one state, incorporating there avoids foreign qualification fees and duplicate filings. Wyoming and Nevada are cheap but do not remove obligations in states where you actually operate.
Do I need to file Form 5472?
If you own a US corporation or a single-member LLC and you are a foreign person, and there were reportable transactions with you during the year, yes. That includes capital contributions and loans, not just sales. The penalty for missing it is $25,000 per form per year, and it applies even when the entity had no income.
LLC or C-Corp for a Canadian business selling into the US?
The CRA treats a US LLC as a corporation while the IRS may treat it as a flow-through, and that mismatch can cost you foreign tax credits. For most Canadian companies expanding into the US, a C-Corp subsidiary is the cleaner structure. The right answer depends on who owns it and how profits come back to Canada.
I'm a US citizen living in Mississauga. Do I still file US taxes?
Usually, yes. The US taxes its citizens on worldwide income, wherever they live. If your income is above the US filing threshold, you file a US return every year as well as your Canadian one. Foreign tax credits and the treaty mostly stop you paying twice, but only if both returns are prepared to work together.
Do I need to file an FBAR?
If you’re a US person and your non-US bank and investment accounts add up to more than $10,000 at any time in the year, yes. That’s the combined total, not each account. If you’ve missed past years and it wasn’t deliberate, the IRS Streamlined procedures usually let you catch up.
